These Dropship Partner Terms and Policies (“Terms”) govern all orders fulfilled by Java Holdings LLC d/b/a JavaMania (“JavaMania,” “we,” “us” or “our”) for any retailer selling JavaMania products through Partner Connect or Shopify Collective (“Partner,” “you” or “your”). By installing Partner Connect, connecting to JavaMania through Shopify Collective, importing JavaMania products or placing any order fulfilled by JavaMania, you agree to be bound by these Terms. If you do not agree, you may not sell JavaMania products.
1. CHANGES TO THESE TERMS. JavaMania reserves the right to change, add to, suspend or remove any part of these Terms, any policy described in them or any product, price or service at any time, at its sole discretion, without prior written or other notice. Changes take effect immediately when posted to this page. It is your responsibility to review this page periodically. Your continued sale of JavaMania products or placement of any order after a change is posted constitutes acceptance of the change.
2. RELATIONSHIP TO OTHER POLICIES. These Terms supplement the JavaMania Terms of Service. JavaMania’s retail Shipping Policy and Refund Policy do not apply to dropship orders. Where these Terms conflict with any other JavaMania policy regarding a dropship order, these Terms govern. These Terms constitute JavaMania’s return, refund, cancellation and order policies for purposes of Shopify Collective.
3. SHOPIFY TERMS. Partner must maintain an active Shopify store and comply with the Shopify Terms of Service, the Shopify Collective terms and all other Shopify policies that apply to Partner’s use of Shopify Collective. Shopify’s terms govern the processing of payments, cancellations and refunds through Shopify Collective. These Terms govern all other aspects of the relationship between Partner and JavaMania. JavaMania is not responsible for the availability, performance or decisions of Shopify or Shopify Collective.
4. INDEPENDENT BUSINESSES. Partner is an independent business. Nothing in these Terms creates a partnership, joint venture, agency, franchise, fiduciary or employment relationship between Partner and JavaMania. Partner has no authority to bind JavaMania or to make any representation on JavaMania’s behalf.
5. CUSTOMER RELATIONSHIPS. Partner is the seller of record to its customers. Partner is solely responsible for all communication with its customers, including inquiries, complaints, returns and refunds, and for setting and honoring its own store policies. JavaMania does not communicate with Partner’s customers.
6. ORDERS. Orders are accepted only through Shopify Collective. The Shopify order is the sole source of truth for fulfillment: JavaMania roasts and ships the contents of the order as received. JavaMania has no obligation regarding any order or order information that does not reach JavaMania through Shopify Collective. JavaMania reserves the right to refuse, limit or cancel any order for any reason at any time.
7. ORDER CHANGES AND CANCELLATIONS.
- Shopify Collective holds each paid order briefly for fraud checks before sending it to JavaMania.
- Orders cannot be edited by JavaMania once received. To change an order, Partner must cancel it and place a new order.
- Partner may request cancellation through Shopify Collective. If the order has not been paid, Shopify Collective cancels it automatically. If the order has been paid, JavaMania may accept or decline the request at its sole discretion, and will not accept it once the order has been roasted.
- If JavaMania cancels an order before fulfillment, the order is canceled in Partner’s store and refunded through Shopify Collective.
8. FULFILLMENT. All products are roasted to order. Orders received by 7:00 AM Central Time, Monday through Friday, are scheduled to roast and ship the same day. Orders received after that time ship the next business day. JavaMania does not roast or ship on weekends or holidays. Fulfillment times are targets, not guarantees.
9. SHIPPING. JavaMania ships to addresses within the United States only. JavaMania selects the carrier and service at its discretion. Delivery dates are estimates provided by the carrier and are not guaranteed. JavaMania is not responsible for carrier delays, including delays during peak seasons.
10. RISK OF LOSS. Title and risk of loss pass to Partner when the shipment is tendered to the carrier. Any replacement JavaMania provides under Section 12 is an accommodation and not an assumption of risk.
11. PAYMENT. All payments between Partner and JavaMania are processed by Shopify Collective under Shopify’s terms and Partner’s Shopify Collective payment settings. JavaMania is paid when it fulfills an order. JavaMania does not invoice, collect or refund dropship payments outside Shopify Collective. Prices are subject to change without notice.
12. ORDER ISSUES AND REPLACEMENTS.
- Damaged products, incorrect orders or quality concerns must be reported to info@javamania.com within three (3) days of delivery, with the order number and a description of the issue.
- Lost shipments may be reported once the carrier would accept a lost package claim: for USPS Priority Mail and Ground Advantage, fifteen (15) days after the mailing date, and for UPS and FedEx, twenty-four (24) hours after the scheduled delivery date.
- Claims not reported within these windows are waived.
- Eligibility of any claim is determined by JavaMania at its sole discretion. For eligible claims, JavaMania will ship a replacement at no charge directly to the end customer at the shipping address on the original order. No product return is required.
- JavaMania will not provide further replacements to any individual end customer who has requested replacements on two (2) different shipments.
- Replacement is Partner’s sole and exclusive remedy for any order issue.
13. RETURNS AND REFUNDS THROUGH SHOPIFY COLLECTIVE. JavaMania does not accept product returns. Partner must configure its Shopify Collective returns policy for JavaMania so that Collective takes no supplier refund action. JavaMania will decline any return request submitted through Shopify Collective. Any refund, return or credit Partner provides to its customers is at Partner’s sole discretion and expense.
14. LABELS AND BUSINESS INFORMATION. Partner is solely responsible for its label artwork, business name, business address, product names, descriptions, tasting notes and all other content Partner supplies (“Partner Content”). JavaMania prints Partner Content as entered and does not review, proof or approve it. JavaMania’s address may not be used as Partner’s business address. JavaMania makes no representation that Partner Content complies with any labeling law or regulation. Partner is responsible for verifying its own labels with the Download Proof function before publishing.
15. INTELLECTUAL PROPERTY. Partner represents and warrants that it owns or has the right to use all Partner Content and that Partner Content does not infringe any third party’s rights. Partner grants JavaMania a non-exclusive, royalty-free license to reproduce Partner Content as needed to fulfill orders. JavaMania may refuse to print any content at its discretion. All JavaMania names, logos, software, product data and content remain the property of JavaMania.
16. COMPLIANCE AND MARKETING CLAIMS. Partner is solely responsible for its compliance with all laws applicable to its business, including laws governing advertising, product claims, consumer protection, sales tax, business registration and data privacy. Partner may not make health, medical, religious-dietary or other claims about JavaMania products that JavaMania does not make.
17. NO EXCLUSIVITY; AVAILABILITY. No Partner holds exclusive rights to any product. JavaMania may sell any product to any party, including other Partners, at any time. Product availability syncs to Partner’s store through Shopify Collective and may change at any time without notice.
18. DISCLAIMER OF WARRANTIES. Except as expressly stated in these Terms, all products and services, including Partner Connect, are provided “as is” and “as available.” JavaMania disclaims all other warranties, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement. JavaMania does not warrant that Partner Connect or any related service will be uninterrupted or error-free.
19. LIMITATION OF LIABILITY. To the fullest extent permitted by law, JavaMania shall not be liable for any indirect, incidental, special, punitive or consequential damages, including lost profits, lost sales, lost data or damage to reputation, arising from these Terms, any order or any use of Partner Connect, even if advised of their possibility. JavaMania’s total liability for any claim relating to an order shall not exceed the amount JavaMania received for that order.
20. INDEMNIFICATION. To the fullest extent permitted by law, Partner agrees to defend, indemnify and hold harmless JavaMania and its owners, employees and agents from all claims, demands, lawsuits, losses, damages, liabilities, judgments, settlements, costs and expenses, including reasonable attorneys’ fees, arising from or related to any product sold by Partner, including claims of personal injury, illness, allergic reaction, burns, property damage, equipment damage or the presence of foreign material in any product, Partner Content, Partner’s marketing or product claims, Partner’s dealings with its customers, Partner’s breach of these Terms or Partner’s violation of any law or third-party right. THIS OBLIGATION APPLIES EVEN IF THE CLAIM ARISES IN WHOLE OR IN PART FROM THE NEGLIGENCE OF JAVAMANIA. JavaMania may select its own counsel, and Partner may not settle any claim on JavaMania’s behalf without JavaMania’s written consent.
21. PRODUCT NATURE. Coffee is an agricultural product. Despite cleaning and sorting, roasted coffee may occasionally contain stones, twigs or other natural foreign material. Partner acknowledges this and is responsible for any warnings or disclosures it provides to its customers, including recommendations to inspect whole bean coffee before grinding. JavaMania makes no warranty that any product is free of naturally occurring foreign material.
22. EVENTS BEYOND OUR CONTROL. JavaMania is not liable for any delay or failure to perform caused by events beyond its reasonable control, including carrier or platform failures, weather, natural disasters, supply shortages, equipment failure, labor disruptions or acts of government.
23. SUSPENSION AND TERMINATION. JavaMania may suspend or terminate any Partner’s access to JavaMania products, Partner Connect or fulfillment services at any time, for any reason, with or without notice. Sections 10, 13 through 16, 18 through 21, 24 and 25 survive termination.
24. GOVERNING LAW AND VENUE. These Terms are governed by the laws of the State of Illinois, without regard to conflict of law principles. Any dispute arising from these Terms shall be brought exclusively in the state or federal courts located in Lake County, Illinois, and Partner consents to their jurisdiction.
25. GENERAL. If any provision of these Terms is held unenforceable, the remaining provisions remain in full effect. JavaMania’s failure to enforce any provision is not a waiver of it. Partner may not assign its rights under these Terms without JavaMania’s written consent. Headings are for convenience only.
